1. Acceptance of Terms

These Terms & Conditions ("Terms") form a binding agreement between you and AssignPro ("AssignPro," "we," "us," or "our") governing your access to and use of the AssignPro website, mobile application, and related services (collectively, the "Service"). By creating an account, downloading, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

2. Description of Service

AssignPro is a scheduling and communication platform that allows sports assignors to create games, assign officials to crew positions, manage venues and school information, and communicate with their officiating pool. Officials can view and manage their assignments, mark availability, accept or decline games, request open games from a marketplace, and track their earnings.

3. Eligibility & Accounts

You must be at least 18 years old to create an AssignPro account. You are responsible for providing accurate, current information when registering and for maintaining the confidentiality of your login credentials. You are responsible for all activity that occurs under your account, and you agree to notify us promptly at info@assignpro.net of any unauthorized use.

Official accounts are generally created or invited by an assignor. By accepting an invitation and using the Service, you agree to these Terms regardless of who created your account.

4. Subscriptions & Billing

AssignPro offers paid subscription plans for assignors (currently marketed as "Starter" and "Growth," with optional add-on blocks of additional officials), billed monthly or annually as selected at checkout. New accounts may include a free trial period as described on our pricing page; no credit card is required to start a trial unless stated otherwise at signup.

• Billing. Depending on how you sign up, subscriptions may be billed directly through our website (for example, via a third-party payment processor) or through the Apple App Store or Google Play in-app purchase system. Where billing occurs through Apple or Google, that platform's payment terms and refund policies apply to that transaction in addition to these Terms.
• Renewal. Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date.
• Cancellation. Assignor subscriptions are billed through the website and may be canceled at any time by emailing info@assignpro.net or using the cancellation option in your account settings. The iOS app is free and does not offer in-app purchases or subscriptions.
• Refunds. Fees are generally non-refundable except as required by law or as expressly stated at the time of purchase. Purchases made through the Apple App Store or Google Play are subject to those platforms' refund policies.
• Price changes. We may change subscription pricing from time to time. We will provide reasonable notice of any price increase before it applies to your next billing cycle.

5. Assignor & Official Relationship

Assignors and officials are solely responsible for their own agreements regarding game assignments, compensation, and payment method (for example, Zelle or other arrangements made outside the App). AssignPro does not process, hold, or guarantee any payments between users, and is not responsible for disputes, non-payment, or errors arising from those arrangements. Any payment or contact information (such as a Zelle handle, phone number, or email) shared through the App is provided by users at their own discretion and is used at their own risk.

6. Acceptable Use

When using the Service, you agree not to:

• Provide false, misleading, or fraudulent information, including impersonating another person or organization.
• Use the Service to harass, threaten, or abuse another user.
• Access or attempt to access another user's account without authorization.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its servers, or connected networks.
• Reverse engineer, decompile, or attempt to extract the source code of the App, except as permitted by law.
• Use automated means (bots, scrapers, etc.) to access the Service without our prior written consent.
• Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law.

We reserve the right to suspend or terminate accounts that violate this section.

7. User Content

You retain ownership of the information you submit to the Service, such as your profile details, game and venue information, and messages ("User Content"). By submitting User Content, you grant AssignPro a non-exclusive, worldwide, royalty-free license to host, store, display, and transmit that content solely as necessary to operate and provide the Service to you and other relevant users (for example, sharing your contact details with an assignor's officiating pool). You are solely responsible for the accuracy of the User Content you submit.

8. Intellectual Property

The Service, including its design, features, graphics, logos, and underlying software, is owned by AssignPro and protected by intellectual property laws. Except for the limited license to use the App as intended, these Terms do not grant you any right, title, or interest in AssignPro's intellectual property.

9. Third-Party Services

The Service may link to or integrate with third-party services, such as mapping/directions providers, email delivery services, and payment platforms referenced by users (e.g., Zelle). AssignPro does not control and is not responsible for the content, policies, or practices of any third-party service. Your use of those services is subject to their own terms and privacy policies.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY GAME ASSIGNMENT, SCHEDULE, OR PAYMENT ARRANGEMENT FACILITATED THROUGH THE APP WILL BE ACCURATE, COMPLETE, OR HONORED BY THE PARTIES INVOLVED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSIGNPRO AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING ANY MISSED GAME ASSIGNMENT, SCHEDULING ERROR, OR PAYMENT DISPUTE BETWEEN USERS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO ASSIGNPRO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless AssignPro and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

You may stop using the Service and close your account at any time by contacting info@assignpro.net. We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the Service. Provisions that by their nature should survive termination (including Sections 8, 10, 11, 12, and 15) will survive.

14. App Store Terms

If you downloaded the App from the Apple App Store, the following additional terms apply, and in the event of a conflict, these terms take precedence over the rest of this agreement solely with respect to your use of the App on Apple devices:

• These Terms are between you and AssignPro only, not with Apple Inc. ("Apple"), and Apple is not responsible for the App or its content.
• Apple has no obligation to furnish any maintenance or support services for the App.
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the App; to the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the App.
• Apple is not responsible for addressing any claims by you or any third party relating to the App, including product liability claims, claims that the App fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
• Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights.
• You represent and warrant that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties.
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple has the right to enforce these Terms against you as a third-party beneficiary.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Arizona, and you consent to the personal jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms from time to time. We will update the "Last Updated" date above and, for material changes, provide additional notice (such as an in-app or email notification). Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
